These Terms and Conditions govern the use of the website of Synvaxis LLC ("Synvaxis LLC", "Synvaxis", "we", "our"), a company incorporated under the laws of the State of Wyoming, United States, with legal address at 30 N Gould St Ste N, Sheridan, Wyoming 82801, as well as the contracting of our software development services and the use of our digital products, including SynvaxisApp (app.synvaxis.com). By accessing our site or engaging our services, you accept these terms in full.

1. Services

Synvaxis offers professional software development services including, but not limited to: web development, mobile applications, e-commerce platforms, UI/UX design and artificial intelligence integration. The scope, deliverables, deadlines and specific conditions of each project are defined in a proposal or individual contract agreed upon between both parties before the start of work.

2. Digital Products

Synvaxis develops and operates proprietary software products, such as SynvaxisApp. The use of these products is subject to the specific terms of each platform. We reserve the right to modify, suspend or discontinue any product at any time, providing prior notice to active users where possible.

3. Intellectual Property

All content on the Synvaxis website — including design, source code, text, logos, graphics and visual materials — is the exclusive property of Synvaxis and is protected by applicable intellectual property laws. Reproduction, distribution or use without express written permission is prohibited.

In the case of projects developed for clients, the intellectual property of the delivered code is transferred to the client upon completion of full payment, unless otherwise agreed in the project contract.

4. Payments and Billing

Payment terms are set out in the proposal or contract for each project. Unless otherwise agreed, payments are structured as follows:

  • An advance payment before development begins.
  • Interim payments linked to milestones or deliverables.
  • Final payment upon delivery of the completed project.

Non-refundable payments are clearly specified in each contract. Failure to make payments may result in development being suspended until the outstanding payments are resolved.

5. Warranty and Support

Synvaxis offers a warranty period of 30 days after final delivery of each project, during which we correct at no additional cost any defects or errors in the delivered software that do not meet the agreed specifications. Requests for changes or new functionality outside the original scope are not covered by warranty and are priced separately.

6. Confidentiality

Both parties agree to maintain the confidentiality of all sensitive information shared during the business relationship, including business data, strategies, technical access and any information marked as confidential. This obligation remains in force even after the contractual relationship has ended.

7. Limitation of Liability

Synvaxis will not be liable for indirect, incidental, special or consequential damages resulting from the use or inability to use our services or products, including but not limited to: loss of revenue, data, business opportunities or other intangible losses. Our total liability will not exceed the amount paid by the customer for the specific service in question.

8. Cancellation and Termination

Either party may cancel an ongoing project by giving at least 15 days' written notice. In the event of cancellation, the client is responsible for payment for all work completed up to the date of cancellation. Synvaxis will deliver all advances and materials produced up to that point.

9. Applicable Legislation

These terms are governed by the laws of the Republic of Ecuador. Any dispute that arises in relation to these terms will be resolved in the competent courts of Santo Domingo de los Tsáchilas, Ecuador, unless mutually agreed upon alternative resolution.

10. Modifications

We reserve the right to update these terms at any time. Changes take effect when published on this website. For clients with active contracts, any change affecting the contractual relationship will be communicated directly.
